This tripartite consultancy agreement is suitable for use where a consulting services company intends to provide consulting services to a client for which a specific consultant (employed by the service provider) is to perform the services. It is most likely that the consultant has very specific skills which can not otherwise be completed by some other consultant.

Quite frequently, the consulatnt would not be a part to the contract. In this case, he is. This is because he is identifiable as a specific individual to act throughout the period of the agreement. Where this is the case, this consulting agreement creates a more preferable agreement for both the consulting company and the client company, since the consultant is bound by certain undertakings and warranties.

As a result, the service provider need not take the risk of making these undertakings and warranties on behalf of the consultant, and the company has a second party to seek remedies from on the occurrence of non-performance of the Services or any other breach of the consulting contract by the parties.
